1. Validity
Prices are valid for 15 days from the date of offer. Prices are subjected to change without notice.

2. Tax
Price within India includes 5% VAT and 15% Service Tax, Educational Cess and Surcharge. All other taxes and service charges are extra and to be added to this list price based on the local laws as applicable and local business practices. For the rest of the countries the purchaser is responsible for all applicable taxes and duties in their jurisdiction.

3. Payment Terms for Software License
100% payment along with the purchase order is due to GoFrugal Technologies. Multiple copy pack is also probable with one PO and single payment. After the installation of the software, license activation will be provided by GoFrugal Technologies for the functioning of the software.

4. Payment Terms for Professional Services Fee
Professional service charges such as SOP, UAT, Data Migration, Product Enhancement / software development charges and implementation charges are paid in advance along with the work order for those services. The service Invoice will be raised for the actual effort spent.

5. Payment Mode
GoFrugal Technologies accept payment by valid Cheque, Demand draft, Online payment thru GoFrugal online store, NEFT/RTGS and Wire Transfer only. Do not pay by cash. GoFrugal does not take responsibility when payment is made by cash

6. License Terms
As per the GoFrugal Technologies End User License Agreement

7. Other Product Licenses
Third Party products such as IBM DB2, Oracle, MySQL, MSSQL if required by the customer for the SQL version of the GoFrugal products, have to be licensed / purchased by the customer separately from the respective vendor. The point of sale module can work with the FREE edition of the SQL database as per the terms of such free offer by the vendor. Other than GoFrugal software, we will not install/support any other software in customer place.

8. Delivery
As per implementation schedule and project plan discussed during project kick-off / order acceptance communication.

9. Business Management Product Recommended
Please note that the actual business management product to be implemented will be decided after the SOP based on knowing the need in detail. The right product in line with the customer need will be chosen. Please note that all products have uniform edition nomenclature and uniform pricing for each of those editions.

10. Edition Upgradation
If there are any changes in the deployment architecture or the solution capability, additional commercials apply when the edition needs to be upgraded.

11. Data Migration
Data migration is limited to, migration of master data, closing stock details and closing balance of every ledger account. The transaction data will not be migrated. If migration work is undertaken by GoFrugal, verifying the migrated data and giving approval after verifying the accuracy of the migrated data is the responsibility of the customer.
The customer is charged if GoFrugal needs to develop a tool specifically for carrying out migration. GoFrugal will make best efforts to deliver the migration tool for smooth installation, but the same needs to be approved at the customer end.

12. Remote implementation services
Mostly the implementation on the customer premises will be done from our head office [Chennai] remotely using VNC or any other similar software. The implementation charges will still apply, only the travel, boarding and lodging charges will be exempted.

13. Support Perpetual License Model
The support & maintenance entitlement is as per GoFrugal support policy and the GoFrugal EULA. Please note that the implementation services delivered remotely are not part of the standard support agreement and are covered by the implementation service fee Support for Subscription License Model Not Applicable as Support is included in the Subscription License fee. The support policy is as per GoFrugal EULA.

14. Product Enhancement Policy
Product enhancement requests will be taken up as per the priority set by GoFrugal. These enhancements will be delivered as a part of regular product updates. When customer wants their needs to be prioritized, GoFrugal charges product enhancement fee and delivers the product enhancement as per mutually agreed timeline. GoFrugal decision on Product Enhancement is final

15. Sales Management Approval
If the Terms & Conditions given here need to be modified, it requires explicit approval of Sales Management of GoFrugal.
