2. Description of Service

Data is the most valuable asset to any business. With alarming increase of data loss due to system failures, cyber attacks and data breaches, it is important for businesses to secure their data and ensure it is protected and backed up regularly. Introducing GOFRUGAL GoSecure, one click automated data back-up and restore solution.

Current methods of manual data back-up is obsolete. It is not only time consuming, requiring manual effort but highly prone to data corruption, cyber attacks and breaches. Impact on loss of data would result in losing crucial information like entire transaction data ie accounts receivable, payable, sales data, GST filing, loss on supplier data, product or pricing information and most importantly loss on reputation like customer data, loyalty and behavioural data.

3. Parts of this Agreement

This Agreement consists of the following terms and conditions (hereinafter the "General Terms") , if any, specific to use of individual services (hereinafter the "Service Specific Terms"). The General Terms and Service Specific Terms are collectively referred to as the "Terms". In the event of a conflict between the General Terms and Service Specific Terms, the Service Specific Terms shall prevail.

4. Usage

A GOFRUGAL on-premise user will be entitled to avail GOFRUGAL GoSecure as an add on to the existing licensed on-premise base product.

5. Acceptance of the Terms

You must be of legal age to enter into a binding agreement in order to accept the Terms. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding service. You can accept the Terms by checking a checkbox or clicking on a button indicating your acceptance of the terms or by actually using the services.

6. Modification of Terms of Service

We may modify the Terms upon notice to you at any time. You will be provided notice of any such modification by electronic mail or by publishing the changes on the website. You may terminate your use of the Services if the Terms are modified in a manner that substantially affects your rights in connection with use of the Services. Your continued use of the Service after notice of any change to the Terms will be deemed to be your agreement to the amended Terms.

7. User Sign up Obligations

You need to sign up for a user account by providing all required information in order to access or use the Services. If you represent an organization and wish to use the Services for corporate internal use, we recommend that you, and all other users from your organization, sign up for user accounts by providing your corporate contact information. In particular, we recommend that you use your corporate email address. You agree to:

  1. Provide true, accurate, current and complete information about yourself as prompted by the sign up process; and

  2. Maintain and promptly update the information provided during sign up to keep it true, accurate, current, and complete.

If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if GOFRUGAL has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, GOFRUGAL may terminate your user account and refuse current or future use of any or all of the Services.

8. Personal Information and Privacy

Personal information you provide to GOFRUGAL through the Service is governed by GOFRUGAL Privacy Policy. Your election to use the Service indicates your acceptance of the terms of the GOFRUGAL Privacy Policy. You are responsible for maintaining confidentiality of your username, password and other sensitive information. You are responsible for all activities that occur in your user account and you agree to inform us immediately of any unauthorized use of your user account by reaching us through Live Chat or raising a ticket in myGOFRUGAL. We are not responsible for any loss or damage to you or to any third party incurred as a result of any unauthorized access and/or use of your user account, or otherwise.

9. Service Level Agreement (SLA)

  1. When the payment is not done, data sync will be suspended and the cloud data will be deleted automatically. On payment, the stored data will be again uploaded to the cloud
  2. Stable internet connection is mandatory with a minimum speed of 4 Mbps. If there is internet outage, notifications will be sent via Email, myGOFRUGAL & SMS. Internet outage will be notified through myGoFrugal to take action on environment issue
  3. Latest patch is mandatory for regular cloud synchronization to happen
  4. Do not use any temporary internet solution such as mobile hotspot, WiFi dongle
  5. Standby internet connection is recommended in case of internet outage to ensure consistent sync to the cloud
  6. GoSecure Websync service should not be removed or stopped manually
  7. GoSecure related links should be whitelisted in Anti-Virus software
  8. If user fails to renew GoSecure license within 7 days of expiry date, cloud data will be deleted and GoSecure services will be stopped
  9. If user fails to pay ALR license fee, GoSecure services will be stopped
  10. If data corruption happens locally, the user will be notified. We, GOFRUGAL don't own the responsibility for customer's hardware issue or the unsynced data recovery. We assure to recover the data whichever is present in cloud

10. Data Privacy

You retain the ownership of the business data that is being uploaded to cloud. In short, third party access of data is not at all possible. Access of your data even by the solution provider (GOFRUGAL) without your consent is not possible. An OTP sent to your registered mobile number is required to restore the data from cloud. The customer data backup happens to secure cloud servers in AWS but the storage space/instance is owned by GOFRUGAL.

11. Data Sync Pre-Requisites

Stable internet connection is required for regular incremental data sync. If in some cases, Internet is not available, the user will be notified through a myGOFRUGAL notification and respective alert messages will be displayed in the on-premise product.

  • Minimum SQL Version : MS SQL 2008
  • Highly recommended to apply GOFRUGAL product release patch regularly (Latest two release is mandatory)
  • Minimum .NET Version : Dot NET Framework 4.5.2
  • Minimum internet speed: 1Mbps upload speed required
  • Recommended system configuration

GoSecure Web sync service running in system should not be stopped by the users. In-case the internet is available but data is not getting synced, it will be notified through myGOFRUGAL.

Users are responsible to white-list GOFRUGAL dependent applications & URL in Anti-virus software, GOFRUGAL will not be responsible for any block by the firewall/anti virus. Anti Virus block can lead to stopping the service which inturn might stop the data sync. Users will be notified through myGoFrugal notifications when the data sync is not happening.

12. Availing the service and Pricing

A licensed GOFRUGAL on-premise user can avail GOFRUGAL GoSecure automated cloud backup and restore service as an add on. The user can opt for monthly or yearly subscription.

The pricing will depend on various factors that affect the cloud storage space but the primary factors to decide pricing will be

  1. Current size of the database
  2. Rate of growth of database

The above two factors will be incorporated and matched respective to a customer's database and shall be categorized into the respective plans. All pricing are inclusive of 18% GST.

13. Plan updation

Monthly subscription - In case a user opts for monthly subscription and during the course of availing the service if the database size/growth exceeds the category standards, the sync will be stopped and the user will be suggested to buy additional storage space until the expiry.

Yearly subscription - In case a user opts for yearly subscription and during the course of availing the service if the database size/growth exceeds the category standards, the sync will be stopped and the user will be suggested to buy additional storage space until the expiry.

14. Communications from GOFRUGAL

The Service may include certain communications from GOFRUGAL, such as service announcements, administrative messages and newsletters. You understand that these communications shall be considered part of using the Services. As part of our policy to provide you total privacy, we also provide you the option of opting out from receiving newsletters from us. However, you will not be able to opt-out from receiving service announcements and administrative messages.

15. Other Product Licenses

Third Party products such as IBM DB2, Oracle, MySQL, MSSQL if required by customer for the SQL version of the GOFRUGAL products, have to be licensed separately from the respective vendor. The point of sale module can work with the FREE edition of the SQL database. Other than GOFRUGAL software, we will not install/support any other software in customer place.

16. Restrictions on Use

In addition to all other terms and conditions of this Agreement, you shall not: (i) transfer or otherwise make available to any third party the Services; (ii) provide any service based on the Services without prior written permission; (iii) use the third party links to sites without agreeing to their website terms & conditions; (iv) post links to third party sites or use their logo, company name, etc. without their prior written permission; or (v) use the Services for spamming and other illegal purposes.

17. Product Enhancement Policy

Any changes or enhancements requested will be aligned according to the priority as per the GOFRUGAL product enhancement policy. Suggestions regarding the new features and feature enhancements will be taken up as per our priority and product release plans and delivered as part of our service pack update.

If any of the features / feature enhancements are of very high priority to customer, GOFRUGAL will commit a time line for delivery and will charge product enhancement fee for the same i.e. Features and enhancements done as per GOFRUGAL priority and time line are not chargeable and done to meet the priority of the customer are chargeable.

18. Data Ownership

We respect your right to ownership of content created or stored by you. You own the content created or stored by you. Unless specifically permitted by you, your use of the Services does not grant GOFRUGAL the license to use, reproduce, adapt, modify, publish or distribute the content created by you or stored in your user account for GOFRUGAL's commercial, marketing or any similar purpose. But you grant GOFRUGAL permission to access, copy, distribute, store, transmit, reformat, publicly display and publicly perform the content of your user account solely as required for the purpose of providing the Services to you.

19. Suspension and Termination

A user may be terminated from GoSecure service if he fails to renew the availed service within the expiry date. If not renewed the secured cloud data of the user will be deleted and data will remain only in the on-premise server system which is highly vulnerable.

We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity or requests by law enforcement or other government agencies. Objections to suspension or disabling of user accounts should be made to legal@gofrugal.com within thirty days of being notified about the suspension. We may terminate, suspend or disabled user account after thirty days. We will also terminate your user account on your request. In addition, we reserve the right to terminate your user account and deny the Services upon reasonable belief that you have violated the Terms and to terminate your access to any Beta Service in case of unexpected technical issues or discontinuation of the Beta Service. Termination of user account will include denial of access to all Services, deletion of information in your user account such as your e-mail address and password and deletion of all data in your user account.

20. Technical Support and Assistance

  1. Online support will be provided to GoSecure users. Users may reach GOFRUGAL Assure Care anytime through Live chat/myGOFRUGAL app as per the GOFRUGAL Assure Care services in End user license agreement
  2. Users may opt to buy additional services , remote and voice assistance packages as per the support terms and conditions and avail the additional services.
  3. Preventive care will be given to GoSecure users where GOFRUGAL identifies failure in data sync to cloud, unstable internet etc and notify the users through myGoFrugal notifications, SMS, Email and on-premise web sync dashboard notifications.
