| Terms and Conditions |
1. |
Validity |
| |
Prices are valid for 15 days from the date of offer. Local Taxes are extra and as applicable. There will be a VAT charge of 4% and service charge of 10.3%, so totally 14.3% will be the tax that has to be paid. Prices are subject to change without notice. |

2. |
Payment Terms Software license fee |
|
100% payment along with the purchase order is due to GoFrugal Technologies. Multiple copy pack also must be with one PO and single payment. After the installation of the software an official software key will be provided by GoFrugal Technologies for the functioning of the software. |

3. |
Payment Terms Professional Services Fee |
| |
Professional service charges such as Customization / software development charges and implementation charges are paid after the invoice with details are presented. |

4. |
Payment Mode |
| |
GoFrugal Technologies accepts payment by valid demand draft or company cheque only. |
| |
|
5. |
License Terms |
| |
As per the GoFrugal Technologies End User Licensing Agreement. |

6. |
Other Product Licenses |
| |
Third Party products such as Oracle, MySQL or MS-SQL, if required by the Customer, for the SQL version of the GoFrugal products have to be licensed separately from the respective vendor. |

7. |
Delivery |
| |
As per implementation schedule and project plan discussed during project kick-off. |
| |
|
8. |
Support |
| |
Support for first three months is included as part of the license fee itself. For the subsequent periods the support charges will be as per the GoFrugal supportpolicy. |

9. |
Travel, boarding and lodging expenses |
| |
All the expenses are reimbursed on actual. The travel, boarding and lodging charges are due as soon as invoice is submitted. |

|
10. |
Additional Charges |
| |
An additional charge of Rs 1500 will be levied if the installation location is more than 60 minutes but less than three hours travel from GoFrugal Executive or GoFrugal Channel Partner base location. If the installation location is more than three hours travel the additional levy will be Rs 3000. |

11. |
Price List Validity |
| |
This price list is Effective from November 1, 2009. |
